TERMS AND CONDITIONS FOR VIDEOGRAPHY SERVICES
These Terms and Conditions apply to all services provided by End Productions UK. The general terms apply to all projects. In addition, the clauses relating to the Specific Services you have booked (e.g., Wedding, Drone, etc.) are also applicable to your project. By booking and engaging the services of End Productions UK “The Videographer”, you “The Client” agree to the following terms and conditions in their entirety.
GENERAL TERMS
1. SERVICES
a. The Videographer agrees to:
i) Deliver the project as outlined in all associated correspondence which includes but is not limited to emails, phone calls and a booking form.
ii) Perform all services in a safe, efficient, timely manner.
iii) Provide and use well-maintained equipment and supplies required to perform the services.
iv) Maintain the confidentiality of all information provided by The Client during and after project completion including but not limited to business plans, strategies, product information, and proprietary data, in strict confidence. The Videographer will not disclose or use such information for any purpose other than fulfilling the obligations of this Agreement, unless required by law.
v) Consult with The Client about specific footage or individuals to be captured.
vi) Adhere to any budget agreed upon by The Videographer and The Client.
vii) Warrant that they hold appropriate and valid Public Liability Insurance and will adhere to all relevant health and safety regulations on location.
b. The Client agrees to:
i) Clearly outline expectations for the project and cooperate with The Videographer to achieve the best possible video within the understanding of this project.
ii) Make timely payments of amounts earned by The Videographer under this agreement and outlined in The Videographer’s invoices.
iii) Provide all necessary materials and support for the project in the required format (e.g., images, fonts, logos, music). The Videographer will not be held accountable for missed deadlines due to a lack of provided materials or failure to approve the project.
iv) Be responsible for obtaining permission from and notifying any venue or management that video and audio recording will take place. The Videographer may require proof of permission.
v) Ensure that all filming locations, products, and personnel are available and ready at the agreed-upon times.
vi) Inform all employees, participants, or members of the public that filming is taking place and secure all necessary model or likeness release forms from individuals who appear in the video(s) and/or photographs.
2. PAYMENT
a. A non-refundable deposit is required to secure the date of filming for the project. This deposit will be deducted from the final outstanding balance. If The Videographer cancels the project after its commencement, the deposit will be returned in full.
b. For certain projects, full payment may be required in advance to confirm the booking. This will be communicated with The Client prior to the commencement of any work and stated in the invoice. Otherwise a final invoice will be provided upon project completion.
c. All invoices must be paid in full within 14 days of receipt.
d. Any overdue amounts will be subject to statutory interest at the rate permissible under UK law.
d. The Videographer will not undertake any work on the Project until the deposit is received.
3.RESCHEDULE
a. If The Client wishes to reschedule the project and the new date is within 3 weeks of the original date and The Videographer can accommodate the new date, money paid up until that point shall be transferred to the new date, both parties shall revise their agreement accordingly to confirm the new project date.
b. If The Videographer is not able to accommodate The Client’s rescheduled date, The Client shall not be held accountable for the remaining balance of this Contract. However, The Videographer shall retain the Deposit.
4. CANCELLATION POLICY
a. The deposit is non-refundable in all cases of Client cancellation.
b. If the Videographer initiates the cancellation, all money paid, including the deposit, will be refunded to The Client within 7 business days.
c. Cancellation of a part of the project may be accepted at The Videographer’s discretion. However, The Client will remain liable for payment for any services already completed or any expenses involving the project.
5. CREATIVE RIGHTS
a. The Videographer reserves the right to edit the video(s) and/or photographs at their discretion and may not offer all footage or photographs shot as part of the project to The Client unless delivery of raw footage or any other agreement is arranged between The Videographer and The Client.
b. The Client acknowledges that they are familiar with The Videographer’s portfolio and is requesting services with knowledge of the Videographer’s unique style.
c. The Videographer shall use their own artistic judgement to create videos(s) and/or photographs consistent with their vision of the Project.
d. The Client acknowledges that videos and/or photographs shall not be subject to rejection on the basis of taste or aesthetic criteria.
6.OWNERSHIP RIGHTS/INTELLECTUAL PROPERTY
a. The final video(s) and/or photographs delivered will become the property of The Client upon full payment of all charges due.
b. The Videographer holds the right to use any or all of the video(s) and/or photographs for the sake of display and or promotional purposes showcasing videography work.
c. The Videographer reserves the full copyright to video(s) and/or photographs resulting from this project.
d. All raw footage and photographs captured on the day remain the exclusive property of The Videographer who holds the right to use this again as they wish, unless exclusivity is agreed beforehand.
e. The Videographer grants The Client a non-exclusive, non-transferable license to use the video(s) and/or photographs for unlimited personal use only. Sale, publication, or any other commercial use of the video(s) and/or photographs by The Client is specifically prohibited without the prior written consent of The Videographer.
f. No rights are granted for the use of any still images or screenshots which may compromise any part of the video footage outside the context of the video(s) unless agreed upon in writing.
7. PERMISSIONS
a. The Client undertakes all responsibilities for obtaining any necessary permission which may be required for The Videographer to film for the project, public or private.
b. The Client assumes all responsibility for obtaining and retaining permission for access to any requested camera positions and is solely responsible for the quality of the final production resulting from the use of or inability to use such camera positions.
c. The Client warrants that they have the legal rights to anything The Videographer will film including musical recordings, photos, videotapes or any other materials delivered to The Videographer for inclusion in The Client’s video(s) and/or photographs.
d. The Client assumes all responsibility for notifying and obtaining permission from parents or guardians of any individual who may appear in the finished video(s) and/or photographs who are under 18.
e.The Client may be required to provide proof to The Videographer of any and all permissions granted before The Videographer will begin filming.
8. LIMITATION OF LIABILTY
a. The Videographer will endeavour to produce and deliver video(s) and/or photographs for the project but is not responsible for requested video(s) and/or photographs not shot or missed, lack of coverage resulting from weather conditions, behaviours of subjects, lack of available light, location restrictions, other videos, photography flashes, or other conditions beyond the control of The Videographer.
9. FORCE MAJEURE
a.Neither party shall be liable for any failure in performance of the obligation under this agreement due to cause beyond that party's reasonable control (including and not limited to any pandemic, fire, strike, act or order of public authority, and other acts of God) during the pendency of such event.
10. WARRANTY
a. The Client acknowledges that The Videographer cannot guarantee certain angles or coverage quality.
b. The Client agrees that The Videographer shall be the sole and exclusive videographer for the project, any conflicts with other video coverage contracts and any notifications necessary to avoid such conflicts are the sole responsibility of The Client.
c. The Videographer warrants that the video shall not infringe upon any third party’s patents, trademarks, trade secrets, copyrights, or other proprietary rights.
d. Should The Client choose to overlay the finished video(s) with unlicensed music on any social media platform or distribute it publicly in any form, The Client shall bear full responsibility for any repercussions in relation to intellectual property infringement, and fully indemnifies The Videographer from any repercussions of said infringement.
11. ANTI HARASSMENT POLICY
a. The Client will not engage in any antisocial or inappropriate behaviour towards The Videographer.
b. If The Videographer experiences any behaviour they believe to be inappropriate, threatening, hostile or offensive (including but not limited to any unwanted physical contact, verbal abuse and taking or using any of The Videographer’s equipment), The Videographer reserves the right to stop filming and leave immediately.
c. If The Videographer leaves early due to any inappropriate behaviour of The Client, if possible, video(s) and/or photographs will be produced in accordance with this agreement but no refund will be given for any reduced hours.
d. If The Videographer feels the need to leave early due to the behaviour of any person who is not the responsibility of The Client, the project will be considered partially completed. All video(s) and/or photographs captured up to the point of departure shall remain the property of The Videographer until all outstanding fees are settled. The Videographer will invoice The Client for a pro-rated portion of the agreed-upon fee based on the work completed. No further fees shall be due. If The Client wishes to pursue a reshoot, it will be treated as a new project.
12. ADDITIONAL SERVICES
a. If The Client asks to supplement the services with the purchase of additional services offered by The Videographer and The Videographer agrees and can fulfil that request, The Videographer will invoice those additional services to The Client at the agreed upon rates.
b. The Client agrees that any work undertaken for any additional services will be done so under these terms.
13. USAGE RIGHTS AND LICENSING
a. The Videographer grants The Client a non-exclusive, non-transferable licence to use the final video for the specific purposes, duration, and geographic territory agreed upon.
b. All other usage, including television broadcasting, paid advertising campaigns, or resale, requires a separate, negotiated licence.
c. The Client is responsible for ensuring they have the necessary licences and permissions for any third-party content (e.g., logos, music, stock footage) they provide for inclusion in the final video.
14. PRE-PRODUCTION AND REVISIONS
a. The project's scope and deliverables will be agreed upon before filming commences. Any subsequent changes to the scope, including additions or alterations to the deliverables, may be subject to a price adjustment.
b. The Client shall designate a single individual as the primary point of contact for all project communication, feedback, and approvals. The Videographer will consider all feedback from this designated contact as the official and final position of The Client.
c. The agreed-upon fee includes 2 rounds of minor revisions after the initial draft is delivered. A round of revisions consists of one, consolidated list of changes requested by The Client after reviewing a video draft.
d. Any additional rounds of revisions requested by The Client will be charged at an additional fee.
e. Any revisions which fall outside of the original project brief such as a full re-edit, significant script changes or the addition of new content will be considered out of scope and charged at an additional fee.
f. Upon delivery of the final draft, the designated contact will have 10 business days to provide final approval in writing unless The Videographer has agreed to an extension. Once final approval is received, the project is considered complete and no further changes will be made without additional cost.
g. If The Client fails to provide feedback within the specified time frame, the draft will be considered approved and the project will be considered complete.
15. INDEMNITY
a. The Client agrees to indemnify and hold The Videographer harmless from any claims, damages, or expenses arising from The Client's use of the final video, especially in relation to copyright infringement of materials they supplied or use of the video for purposes not covered by the license agreement.
16. EQUIPMENT FAILURE AND DATA LOSS
a. In the highly unlikely event of a total technical failure, equipment malfunction, or loss of footage for any reason beyond The Videographer's control, The Videographer's liability will be limited to a full refund of all monies paid by the Client to The Videographer. The Videographer may offer The Client the option of a reshoot at no extra cost, but without any further compensation for The Client.
b. Should a portion of the footage be lost, but the remaining footage is still sufficient to complete the project to the Client's satisfaction, The Videographer will make every reasonable effort to complete the project with the remaining footage. In this scenario, no refund or reshoot will be offered. The Client will be consulted to determine if the remaining footage is adequate to proceed.
17. DELIVERY TIME FRAMES
a. The Videographer will aim to deliver the finished video within 6 weeks of filming or within the timeline verbally or otherwise communicated to The Client.
b. This time frame is dependant on but not limited to The Client providing all necessary materials in a timely manner, The Videographer’s work load, other scheduled commitments, and the scale of the project.
18. MUSIC LICENSING
a. The Videographer agrees to use only licensed or royalty-free music.
b. If The Client provides a specific song choice, The Client is solely responsible for obtaining and bearing the cost of any necessary copyright licenses for its use in the final video. Proof of any relevant licenses or permission must be provided to The Videographer.
19. INDEPENDENT CONTRACTOR
a. The Client agrees that The Videographer acts as an independent contractor and not as an employee and acknowledges that this contract does not create a partnership or joint venture between them but is exclusively a contract for service.
20. AUTONOMY
a. The Videographer will have full control over working time, methods, and decision making in relation to the fulfilment of the agreement and will work autonomously, not at the direction of, but in collaboration with, The Client, albeit responsive to the reasonable needs and concerns of The Client.
21. NO EXCLUSIVITY
a. The Videographer and The Client acknowledge that this agreement is non-exclusive and that either party will be free, during and after the period of the project, to engage or contract with third parties for the provision of any other services.
22. MUTUAL INDEMNIFICATION
a. Except to the extent paid in settlement from any applicable insurance policies, and to the extent permitted by applicable law, The Videographer and The Client agree to indemnify and hold harmless each other against any and all claims, losses, damages, liabilities, penalties, punitive damages, expenses, reasonable legal fees and costs of any kind or amount whatsoever, which result from or arise out of any act or omission of the indemnifying party that occurs in connection with this agreement. This indemnification will survive the duration of the project.
23. MODIFICATION OF TERMS AND CONDITIONS
a. Any amendment or modification of this agreement, or additional obligation assumed in connection with it, will only be binding if evidenced in writing signed by The Videographer and The Client.
24. GOVERNING LAW AND JURISDICTION
a. This agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of England and Wales.
b. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with this agreement or its subject matter or formation.
SPECIFIC SERVICES
25. DRONE POLICY
a. The Client agrees to undertake all responsibility for obtaining permissions from any locations for The Videographer to operate the drone for the sake of capturing footage for the video(s) and/or photographs.
b. In the case that drone footage has been paid for and it is evident permission has not been sought or granted and the drone can therefore not be used, The Videographer will retain the full amount paid for this service.
c. In the case that drone footage has been paid for and permission has been granted but retracted by the location or site manager on the day, The Videographer will return the full amount paid for this service.
d. In the case that drone footage has been paid for but conditions on the day do not permit safe use (adverse weather, mechanical failures etc.), The Videographer will return the full amount paid for this service.
e. The Client acknowledges that The Videographer must have enough time to do pre-flight checks and ensure that the drone operation can be undertaken safely, adhering to the rules and regulations of aerial filming and The Videographer’s operating licence.
f. The Videographer reserves the right to not operate the drone if they believe it is unsafe for any reason.
g. The decision on whether or not it is safe to operate the drone lies solely with The Videographer.
26. WEDDINGS
a. The full balance for wedding videography services must be paid 6 weeks before the wedding date. If payment is not received by this deadline, The Videographer reserves the right to cancel the services without a refund of any monies already paid.
b. The Client agrees to ensure The Videographer is alerted ahead of the key events (e.g. Bouquet throwing, cake cutting etc.) to give The Videographer time to prepare.
c. The Client is solely responsible for the content of the final production if a key moment is missed due to The Videographer being uninformed.
d. The Client is responsible for notifying any person that shall be present at the event including attendees, guests, property owners and any other applicable parties that video, images and audio will be recorded by The Videographer.
27. LIVE SHOW OR EVENT
a. The Client is responsible for informing The Videographer of any unusual or abnormal events within the performance (e.g., performers entering the audience, performing at height, sudden loud sounds). The Client is responsible for any key moments missed if the Videographer is not informed.
b. If necessary, The Client assumes all responsibility for obtaining and retaining permission for access to the venue’s mixing desk in order for The Videographer to record high quality sound. The Client is solely responsible for the quality of the final production resulting from the access to or inability to access or use the venue’s mixing desk.
c. The Client acknowledges that The Videographer shall not be held responsible for compromised coverage due to any staging, props, costumes, lighting or sound design in The Client’s show or the behaviour of the audience or audience members moving in front of cameras during the performance.
d. The Client accepts that The Videographer shall be given priority in taking videos over audience or crew members with mobile phone cameras or other devices.
e. The Client understands that if their show or event does not run according to schedule, there may be the need for The Videographer to leave before the end of the show due to other obligations.
f. The Videographer agrees to make every effort to provide satisfactory coverage, but cannot make any guarantees as to specific angles or coverage during the show or event.
g. The Client acknowledges that the footage may contain natural imperfections inherent to live filming. These may include, but are not limited to, camera shakes, focus adjustments and variations in exposure resulting in bright or darker moments.
28. FOOTAGE DELIVERY ONLY
a. If the service includes the delivery of unedited footage only, The Client acknowledges and agrees that this material is a direct, unfiltered recording. This footage is not a finished product and will contain natural imperfections inherent to live filming. These may include, but are not limited to, camera shakes, focus adjustments and variations in exposure resulting in bright or darker moments.
b. The Videographer will not be responsible for any post-production work on this footage.
c. The Client understands that any and all editing, color correction, audio mixing, or other post-production adjustments required to produce a final, polished video are the sole responsibility of The Client.
d. The Client accepts that the quality of the final production from this raw footage is entirely dependent on their own post-production process, which is outside of The Videographer's control.
29. EDITING OF PRE-EXISTING MATERIAL
a. The Videographer will, at The Client’s request, edit any material not filmed by The Videographer for an agreed upon rate.
b. The Client either assumes all responsibility for gaining and obtaining permission from the material’s original creator to allow The Videographer to edit this footage or agrees that they have full ownership over the supplied materials.
c. The Client shall bare full responsibility for any repercussions which may arise if permission has not been granted by the material’s original creator.
d. Full copyright still belongs to the material’s original creator and The Videographer will not assume any ownership of materials supplied by The Client.
30. STILLS PHOTOGRAPHY
a. Any stills photography The Videographer may carry out for The Client is done so under the same terms as videography.
We look forward to working with you on your project. By proceeding with your booking, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions in their entirety. This agreement represents the full understanding between The Client and The Videographer.
Please note these Terms and Conditions may be modified or updated at any time to reflect changes in business practices, legal requirements or our services.
